Canary Gold Corp. Announces Board and Audit Committee Changes

Vancouver, British Columbia — October 16, 2026 — Leads & Copy — Canary Gold Corp. (CSE: BRAZ; OTCQB: CNYGF; Frankfurt: K5D) announced that Al Kanji has resigned from the Company’s Board of Directors, effective immediately. Mr. Kanji also held the position of Chair of the Company’s Audit Committee.

Mr. Kanji’s departure from the board is attributed to his increasing professional commitments and is not a result of any disagreements with Canary Gold Corp., its management, or its operations. Following his resignation, Andrew Lee Smith, Chairman & CEO of Canary Gold, will assume the duties of Chair of the Audit Committee.

Mr. Kanji will continue his association with Canary Gold in an advisory capacity. In this new role, he will provide strategic guidance, assist with corporate development initiatives, and help evaluate potential business opportunities for the company.

Andrew Lee Smith, Chairman & CEO of Canary Gold, expressed gratitude for Mr. Kanji’s contributions. “On behalf of the Board, I would like to thank Al for his contributions and counsel during his tenure as a director and Chair of the Audit Committee,” Smith stated. “We appreciate his continued interest in Canary and look forward to benefiting from his experience and industry relationships in his new advisory role.”

Canary Gold Corp. is a Canadian public exploration company with a focus on acquiring and advancing gold projects located in Brazil. The company currently holds an option to earn up to a 70% undivided interest in the Rio Madeira Project, contingent upon a series of staged exploration expenditures and milestone payments.

In August 2025, Canary Gold expanded its regional strategy by entering into an agreement to acquire a 100% interest in ten additional mineral tenements. These tenements, totaling approximately 94,700 hectares, were acquired from Talisman Venture Partners Ltd., a private company based in British Columbia. The total consideration for this acquisition was CAD $1.7 million, which has been satisfied through staged cash and share payments. Talisman Venture Partners Ltd. will retain a 1.0% net smelter return (NSR) royalty on future production from these acquired tenements. Canary Gold has the option to repurchase one-half of this NSR (reducing it to 0.5%) at any time for CAD $1.0 million.

These mineral interests are intended to support Canary Gold’s ongoing regional exploration strategy within the Madeira River region of Rondônia State, Brazil.
