Madoro Metals Corp. Updates on Proposed Reverse Takeover Transaction with Narrow River Resources Pty Ltd.
VANCOUVER, British Columbia — August 13, 2026 — Leads & Copy — Madoro Metals Corp. is providing an update on its proposed reverse takeover transaction with Narrow River Resources Pty Ltd. (NRR), a deal first announced on February 2, 2026, and most recently updated on July 17, 2026.
The Company and NRR are continuing to work on the remaining requirements for the transaction under TSX Venture Exchange (TSXV) Policy 5.2, which governs Changes of Business and Reverse Takeovers. Madoro is focused on finalizing the management proxy circular (Circular) that will be sent to shareholders for an upcoming special meeting to approve the Proposed Transaction. This includes completing other necessary transaction documentation and disclosure materials.
As previously disclosed, Madoro has signed a definitive share purchase agreement with 9525-9867 Québec Inc. and NRR for the Proposed Transaction. The involved parties are coordinating with their advisors to address outstanding matters, including the preparation and review of the Circular and related documents. Both parties remain committed to advancing the transaction and will provide further updates as developments occur.
In parallel, Madoro is proceeding with its previously announced concurrent non-brokered private placement. This placement aims to raise up to C$1,230,000 through the sale of hard dollar and flow-through units. The completion of this Private Placement is contingent on acceptance from the TSXV and other required regulatory approvals.
The finalization of the Proposed Transaction is subject to several conditions, including regulatory and shareholder approvals, TSXV acceptance, successful completion of the Private Placement, finalization and distribution of the Circular, execution of ancillary transaction documentation, and the satisfaction of other standard closing conditions.
