Onco-Innovations Limited Reprices Private Placement Financing
Vancouver, B.C. — July 27, 2026 — Leads & Copy — Onco-Innovations Limited (CBOE: ONCO) has announced a repricing of its previously disclosed non-brokered private placement financing, originally representing a notional subscription amount of approximately CAD$5,000,000. The company and its arm’s length institutional investors, Sorbie Bornholm LP and Sorbie Investments LLP, have agreed to issue units at a revised notional price of CAD$0.63 per unit.
Based on this new pricing, Onco-Innovations expects to issue an aggregate of 7,936,508 units. Each unit will consist of one common share and one common share purchase warrant. The warrants will be exercisable at CAD$0.77 per share for a period of three years following the closing of the offering. These warrants will include an equity blocker provision preventing exercise if it results in the holder owning more than 9.99% of the company’s outstanding shares on a partially diluted basis. Additionally, the company has the option to accelerate the expiry date of the warrants if the 10-day volume-weighted average trading price of the shares on Cboe Canada Inc. (Cboe) or another primary exchange equals or exceeds CAD$1.10 for a full trading day, by issuing a news release announcing a 30-day accelerated expiry, subject to the equity blocker.
Onco-Innovations anticipates that all shares issuable under the offering will be issued at an initial closing. To comply with Cboe Listing Manual requirements, which limit issuances exceeding 25% of outstanding shares without shareholder approval, approximately 5,686,508 warrants will be issued at the initial closing. The remaining 2,250,000 warrants are expected to be issued following receipt of disinterested shareholder approval, which will be sought at the company’s upcoming annual general and special meeting.
As previously disclosed, no funds will be immediately available to the company upon closing. Instead, its economic interest will be determined over 18 monthly settlement tranches measured against a benchmark price of $0.8260, with the first tranche payable at the end of the month of closing. If the settlement price, determined monthly based on the volume-weighted average trading price for the 20 trading days prior to settlement, exceeds the benchmark price, Onco-Innovations will receive more than 100% of the applicable monthly settlement amount on a pro rata basis. Conversely, if the settlement price falls below the benchmark, the company will receive less than 100%. The number of shares issued to investors will not increase due to a decline in the settlement price. Further details on the final offering structure will be provided in a closing news release for the initial tranche.
Sorbie Bornholm LP is expected to receive a corporate finance fee of CAD$400,000, to be satisfied through the issuance of an additional 634,921 units at the time of the initial closing.
The net proceeds from the offering are intended for advancing the development of Onco-Innovations’ ONC010 program through key clinical development stages, including manufacturing and preclinical testing, for the development of the SynoGraph™ platform, and for general working capital and corporate purposes. The company expects to close the offering imminently, contingent on the satisfaction of remaining closing conditions, including final approval from Cboe.
