Hi-View Resources Inc. Announces $1.5 Million Private Placement for Exploration Expenditures
VANCOUVER, BRITISH COLUMBIA — August 13, 2026 — Leads & Copy — HI-VIEW RESOURCES INC. (“Hi-View” or the “Company”) is launching a non-brokered private placement to raise a minimum of $1,500,000 in gross proceeds through the sale of premium-flow through units at $0.40 per unit. The offering, known as the Premium FT Offering, is expected to provide the funds necessary to incur eligible Canadian exploration expenses that qualify as flow-through critical mineral mining expenditures and BC flow-through mining expenditures.
Each premium-flow through unit will comprise one common share of the Company and one-half of a transferable common share purchase warrant. Each whole warrant will grant the holder the right to acquire an additional non-flow-through common share at a price of $0.42 for a period of 24 months from the issuance date. Both the common shares and the half warrant will qualify as “flow-through shares” under Canadian income tax law.
The proceeds from the Premium FT Offering are earmarked for eligible expenditures related to the Company’s projects situated in British Columbia. Hi-View Resources Inc. intends to renounce these Qualifying Expenditures with an effective date no later than December 31, 2026, amounting to at least the total gross proceeds raised. These expenses must be incurred by December 31, 2027.
The closing of the Premium FT Offering is anticipated to occur around September 3, 2026, contingent upon securing all necessary regulatory and other approvals. All securities issued will be subject to a statutory four-month-and-one-day hold period following their issuance.
The securities have not been registered under the United States Securities Act of 1933, as amended, or state securities laws, and therefore cannot be offered or sold within the United States or to U.S. persons unless registered or an exemption from registration is available. This press release does not constitute an offer to sell or a solicitation of an offer to buy any securities in any jurisdiction where such an offer, solicitation, or sale would be unlawful.
