Clean Energy Transition Inc. Continues Private Placement and Royalty Rights Offering

September 11, 2026 — Leads & Copy — Clean Energy Transition Inc. (TSX-V: TRAN) announced that it continues to proceed with its previously announced non-brokered private placement and concurrent royalty rights offering. The Company anticipates completing the financing within the next two weeks. The TSX Venture Exchange has approved three minor amendments to the Royalty Right Certificate, which clarify the pro rata denominator, allow for the carry forward of negative Cash Flow for Distribution (CFD), and preserve flexibility to sell, transfer, refinance, securitize or reorganize the Pilot Portfolio.

All other terms of the financing remain unchanged. The financing is structured as two separate offerings: a non-brokered private placement of up to 7,500,000 units at $0.04 per unit and a concurrent offering of up to 7,500,000 contractual royalty rights at $0.01 per royalty right. Each unit includes one common share and one common share purchase warrant. Each warrant allows the holder to purchase an additional common share at $0.08 per share for two years from closing. The Company has the option to accelerate the warrant expiry date if the volume-weighted average price of its shares on the TSXV equals or exceeds $0.10 per share for 10 consecutive trading sessions.

The royalty rights entitle holders, on a pro rata basis, to receive quarterly distributions equal to 50% of the Company’s CFD generated by the Energy Assets of TranFin’s Pilot Phase. The Company has received conditional acceptance for the financing, with final closing contingent on final TSX Venture Exchange approval.

Clean Energy Transition Inc., also known as transition.inc, focuses on opportunities within the energy transition to generate positive cash flow. The Company currently possesses a portfolio of Critical Minerals assets, including the Aurora Nickel Project in Ontario, aimed at advancing a potential low-carbon production opportunity for North American nickel demand. It also holds high-quality Silica/Quartz projects, Snow White in Ontario and Silicon Ridge in Québec, which could supply feedstock for silicon metal used in solar energy systems and advanced manufacturing.
