Pacific Imperial Mines Cancels Proposed Private Placement
Vancouver, British Columbia — October 16, 2026 — Leads & Copy — Pacific Imperial Mines Inc. (TSX.V: PPM) announced today the cancellation of its proposed private placement of flow-through and non-flow-through units. The decision follows an internal review by the TSX Venture Exchange (TSXV) which concluded on October 15, 2026.
The TSXV determined that the closing price of $0.10, adjusted for a consolidation, which was used to set the issue price of $0.075 for the private placement, did not accurately reflect the market price of the Company’s common shares. Consequently, the TSXV indicated that the private placement would need to be repriced.
Earlier, on October 8, the TSXV had advised the Company that the established reserve price was not a fair reflection of the market price for its common shares and that the offering would require repricing. Pacific Imperial informed the TSXV on October 9 that such a repricing would be unacceptable to the committed subscribers.
After a thorough review of its strategic options, Pacific Imperial concluded that a mandate to reprice the private placement would lead to existing subscribers withdrawing their commitments. As a result, the Company has formally decided to cancel the proposed private placement and is now re-evaluating its path forward.
