New Age Metals Signs Amending MOU with Nipissing First Nation for River Valley Palladium Project

ROCKPORT, Ontario — July 28, 2026 — Leads & Copy — New Age Metals Inc. has signed an Amending Exploration Memorandum of Understanding (MOU) with Nipissing First Nation (NFN) to foster a respectful, cooperative relationship regarding the company’s exploration programs on its River Valley Project. The Amended MOU, dated July 21, 2026, aims to ensure constructive collaboration between New Age Metals and NFN concerning exploration and development activities on the flagship River Valley Palladium Project, which is supported by the NFN community.

The River Valley Palladium Project is a multi-million-ounce, pre-feasibility stage asset located 100 kilometers by road from Sudbury, Ontario. Harry Barr, Chairman & CEO of New Age Metals, expressed pleasure in signing the Amended MOU and becoming an active participant with Nipissing First Nation. He acknowledged that the River Valley Project is subject to Aboriginal traditional and treaty rights protected under Section 35 of the Constitution Act, Canada. The Amended MOU provides a structured approach for working with NFN on claims situated within their traditional territories.

New Age Metals’ exploration activities are situated on lands that NFN asserts are part of their traditional territory, where NFN members claim to hold and exercise Aboriginal and/or Treaty rights. The MOU establishes a framework for open and respectful communication, facilitating New Age Metals’ consultation with NFN. This ensures that exploration activities, including initial work within NFN traditional territory, are conducted for the mutual benefit of both NFN and New Age Metals, with due consideration for the environment, NFN traditional territory, and associated Aboriginal and treaty rights.

Under the terms of the Amended MOU, New Age Metals will issue 500,000 non-transferable share purchase warrants. These warrants will allow the holder to purchase 500,000 common shares of the company at an exercise price of $0.60 for five years from the issuance date, subject to vesting terms over a two-year period. The Amended MOU and the warrant issuance are pending approval from the TSX Venture Exchange. Any securities issued will be subject to a four-month-and-one-day hold period, in accordance with regulatory requirements.

New Age Metals is a junior mineral exploration and development company focused on discovering, exploring, and developing critical metal projects in North America. The company operates through three divisions: Platinum Group Element (PGE), Lithium/Rare Metals, and Antimony-Gold, in addition to an investment in MetalQuest Mining’s high-purity Lac Otelnuk Iron Project. The PGM Division includes the wholly owned, multi-million-ounce River Valley Project, one of North America’s largest undeveloped PGE projects. The company’s Antimony-Gold division in Newfoundland comprises an extensive land package across 11 properties. Management has completed two phases of exploration on these projects, delineating multiple gold-antimony trends. Additionally, the Bonanza Ridge Gold and Critical Metals Project in northwestern Ontario has been significantly expanded through option agreements. New Age Metals also holds substantial claim holdings in the Winnipeg River Pegmatite Field, where it is exploring for hard rock lithium and rare elements. The company has also made an investment in MetalQuest Mining, which is developing the Lac Otelnuk Iron Project in Quebec.

MetalQuest Mining Inc. is advancing one of North America’s largest iron projects, having invested approximately $120 million. High-purity iron was classified as a critical metal by the Canadian federal government and provincial governments in 2024. MetalQuest Mining Inc. has also expanded its presence in the Ontario Ring of Fire with the acquisition of the ROF-1 Project and the Fishhook Polymetallic Project. Management plans to complete a geophysical program on the Fishhook project by the end of September 2026. New Age Metals is actively seeking new mineral acquisition opportunities internationally, with a strategy to generate projects and option them to major and junior mining companies.
