Mobio Technologies Inc. Acquires Franchise Rights and Assets for US$5 Million

Vancouver, B.C. — July 27, 2026 — Leads & Copy — Mobio Technologies Inc. (TSXV: MBO) announced today it has entered into a definitive asset purchase agreement for its wholly-owned subsidiary, You Move Me LLC, to acquire all franchise rights and assets held by Easy Moves Holdco LLC and related entities for US$5,000,000. You Move Me is the franchisor of the You Move Me franchise system across the United States.

The acquired assets include You Move Me franchises operating in six metropolitan markets: Kansas City, Minneapolis/St. Paul, Denver, Salt Lake City, Indianapolis, and St. Louis. The transaction is an asset purchase, meaning no cash, prepaids, deposits, or liabilities will be assumed by You Move Me. This acquisition will bring these franchise locations under corporate ownership within the You Move Me brand.

The total purchase price of US$5,000,000 will be paid as follows: US$1,000,000 upon closing, US$1,000,000 on September 30, 2026, and the remaining US$3,000,000 in 20 quarterly payments over five years. Simple interest at 5% per annum will accrue on the outstanding principal balance.

Funding for the cash consideration is expected to come from Mobio’s operating cash flows and the proceeds from two unsecured loans totaling CAD$2,000,000. These loans, issued on June 12, 2026, each bear simple interest at 12% per annum and are due on June 12, 2028. One loan of CAD$1,500,000 was issued to a director of the Company, and a CAD$500,000 loan was issued to a company controlled by Mobio’s CEO and director. Both loans are unsecured and may be prepaid without penalty.

The loans are considered related party transactions under MI 61-101 and were approved by the board, with CEO Laurie Baggio and director Lance Tracey abstaining from voting on the resolutions to approve the loans. Mobio relied on exemptions from valuation and minority shareholder approval requirements for these transactions. No finder’s fees are payable in connection with the asset purchase.

The Asset Purchase is considered a Reviewable Transaction under TSX Venture Exchange (TSXV) policies and requires the Exchange’s acceptance. The transaction is subject to customary closing conditions and will not close until TSX Venture Exchange acceptance is obtained. There is no guarantee the Asset Purchase will be completed as proposed.

In a statement, Mobio CEO Laurie Baggio expressed pride in the agreement to acquire the franchise locations, stating, “Bringing them under direct corporate ownership is intended to support disciplined growth, operational consistency, and continued investment in the brand. Integration of the Franchise Locations into our corporate portfolio marks a significant milestone in our mission to scale the You Move Me system across North America.”
