Emergent Metals Corp. Files Amended Financial Statements and Provides Transaction Update

Vancouver, British Columbia — October 16, 2026 — Leads & Copy — Emergent Metals Corp. announced Friday it has filed amended and restated unaudited condensed interim consolidated financial statements for the three and six months ended June 30, 2026, along with the related amended and restated management’s discussion and analysis. These filings, referred to as the Amended Filings, amend and restate the corresponding financial statements and MD&A originally filed on August 28, 2026.

The Amended Filings correct certain accounting and disclosure matters identified after the original filings. These corrections resulted in a reduction of share capital and accumulated other comprehensive loss by US$231,040. Additionally, comprehensive loss increased by US$231,040 for the three months and US$297,428 for the six months ended June 30, 2026. The Company stated that these corrections did not impact its assets, liabilities, net loss, total equity, or cash balance.

Further details regarding the amendments are available in the Amended Financial Statements and Amended MD&A, which supersede the original filings. These documents are accessible under the Company’s profile on SEDAR+.

In an update on its Plan of Arrangement with Lahontan Gold, Emergent confirmed it entered into an arrangement agreement on September 15, 2026. Under this agreement, Lahontan Gold proposes to acquire all issued and outstanding common shares of Emergent through a court-approved plan of arrangement. Further details of this transaction were announced on September 16, 2026, with the arrangement agreement and plan of arrangement available on SEDAR+ for both Emergent and Lahontan.

Emergent has received conditional acceptance from the TSX Venture Exchange for the transaction. The Company is currently preparing its management information circular for its annual general and special meeting of shareholders, scheduled for December 4, 2026. At this meeting, shareholders will vote on the proposed transaction and other business items. Emergent is also preparing the necessary court materials. The completion of the transaction is contingent upon shareholder and court approval, final acceptance from the TSXV, other required approvals, and the satisfaction or waiver of conditions outlined in the arrangement agreement.

The Company also reminded holders of common share purchase warrants, issued from private placements on November 14 and 19, 2024, that these warrants are set to expire on November 14 and 19, 2026, respectively. Each whole warrant allows its holder to purchase one Emergent common share at an exercise price of C$0.10. The warrants are non-transferable, and management has no current plans to extend their term.

Under the terms of the proposed transaction with Lahontan Gold, Emergent shareholders would receive 0.3115 of a Lahontan common share for each Emergent share held. This is equivalent to approximately one Lahontan share for every 3.21 Emergent shares. The completion of the transaction is subject to required approvals and other conditions and is not guaranteed. Warrant holders are advised to consult their own advisors and review their warrant terms before making any decisions regarding exercise.
