Stellar AfricaGold Inc. Adopts Semi-Annual Financial Reporting Under Pilot Program

Vancouver, British Columbia — June 11, 2026 — Leads & Copy — Stellar AfricaGold Inc. (TSX-V: SPX) announced its decision to adopt semi-annual financial reporting, leveraging the Coordinated Blanket Order 51-933, a pilot program by the Canadian Securities Administrators. This initiative allows eligible venture issuers to shift from quarterly to semi-annual financial reporting, easing administrative and financial burdens.

The Company, whose fiscal year ends on July 31, confirmed it meets the eligibility criteria for CBO 51-933. This exemption permits eligible issuers to forgo filing interim financial reports and related management’s discussion and analysis (MD&A) for the three-month and nine-month interim periods within their financial year. By participating in this pilot program, Stellar AfricaGold aims to reallocate resources previously used for quarterly reporting towards advancing its business objectives.

Consequently, Stellar AfricaGold will not file an interim financial report or related MD&A for the nine-month period ending April 30, 2026. This marks the first interim period for which the Company is utilizing CBO 51-933. For as long as the Company adheres to the conditions of CBO 51-933 and the order remains active, it will continue to rely on this exemption for subsequent three-month and nine-month interim periods, typically ending on October 31 and April 30 each year.

Stellar AfricaGold remains committed to timely disclosure and will continue to report material changes and significant developments in line with National Instrument 51-102 – Continuous Disclosure Obligations. The Company will still submit audited annual financial statements and semi-annual interim financial reports and related MD&A as required by applicable securities legislation.
