Element79 Gold Corp. Announces Private Placement to Raise Up To C$1 Million
VANCOUVER, BC – June 12, 2026 — Leads & Copy — Element79 Gold Corp. (CSE: ELEM) (OTC: ELMGF) (FSE: 7YS) announced today its intention to complete a non-brokered private placement of up to 55,555,556 units at C$0.018 per unit, aiming to raise up to C$1,000,000 in gross proceeds.Each unit will consist of one common share and one transferable common share purchase warrant. Each whole warrant will grant the holder the right to acquire an additional common share of the company at an exercise price of C$0.05 for a period of 24 months from the issuance date.
The warrants include an acceleration provision. If the volume-weighted average trading price of the company’s common shares on the Canadian Securities Exchange (CSE) reaches or exceeds C$0.10 for ten consecutive trading days after the statutory hold period expires, Element79 Gold Corp. may accelerate the warrant expiry date to at least 30 days following a news release announcing the acceleration. Unexercised warrants will expire on the accelerated date.
The net proceeds from the private placement are intended for general working capital, ongoing exploration and project advancement, and other corporate purposes as determined by the board of directors.
In connection with the private placement, the company may pay finders’ fees to eligible finders. These fees could include up to 7% of the gross proceeds raised through finders and finders’ warrants representing up to 7% of the units sold to subscribers introduced by those finders. The finders’ warrants will carry the same terms, including exercise price, term, and acceleration provision, as the warrants included in the units, in compliance with CSE policies and Canadian securities laws.
The private placement is anticipated to close in one or more tranches, subject to acceptance by the CSE and adherence to applicable Canadian securities laws. The shares, warrants, and any shares issued upon exercise of warrants or finders’ warrants will be subject to a statutory four-month-and-one-day hold period from their issuance date, in addition to any other resale restrictions imposed by the CSE or Canadian securities laws.
