Adamera Minerals Closes Second Tranche of Flow-Through Private Placement, Raises Additional Funds
Vancouver, British Columbia — July 28, 2026 — Leads & Copy — Adamera Minerals Corp. has successfully closed the second and final tranche of its flow-through private placement, raising an additional $319,900.05 through the sale of 2,132,667 Flow-Through Units at $0.15 per unit. This brings the total funds raised from both tranches to $632,400.05 from the sale of 4,216,000 shares.
Each Flow-Through Unit comprises one common share and half a common share purchase warrant. These warrants are exercisable at $0.40 for two years from their issuance date, allowing the holder to purchase a non-flow-through share. A provision exists where warrants will expire 30 days after a period of 10 consecutive trading days where the Company’s common shares on the TSX Venture Exchange close at or above $0.40, provided this occurs more than four months and one day after issuance.
Securities issued in the second tranche are subject to a four-month hold period, concluding on November 29, 2026. The financing also involved a cash finder’s fee of $1,995.
The raised flow-through funds are designated for qualifying Canadian exploration expenditures on the Company’s recently identified gold, copper, and zinc prospects at the South Hedley Project in southern British Columbia. These expenditures may be eligible for the 30% Critical Mineral Exploration Tax Credit.
Adamera Minerals also announced plans to raise $360,000 for working capital at a price of $0.10 per unit. Each unit will consist of one common share and one warrant, exercisable at $0.15 for three years. Similar to the flow-through warrants, these warrants will expire 30 days after 10 consecutive trading days closing at or above $0.20, if occurring more than four months and one day after issuance.
Adamera Minerals Corp. is engaged in the exploration for high-grade gold deposits in Washington State and British Columbia, holding several drill-ready targets for gold, silver, and copper in areas with historical mining activity.
