Majestic Gold Corp. Declines Invalid Shareholder Requisition, Sets Annual General Meeting Date

Vancouver, British Columbia — June 16, 2026 — Leads & Copy — Majestic Gold Corp. (TSX.V: MJS, FSE: A0BK1D) announced that it will not call a meeting of shareholders in response to a requisition received from Mr. Fan Zhong Kong on May 28, 2026, stating it does not constitute a valid shareholder requisition under the Business Corporations Act (British Columbia). The Company’s Board of Directors, on the advice of legal counsel, determined the requisition was deficient for failing to identify proposed director nominees and provide sufficient information on other proposed matters.

The Company has informed Mr. Kong that he may submit a new requisition addressing these deficiencies if he wishes to proceed with a meeting to consider the proposed business. Majestic Gold Corp. noted that the substance of the business proposed in the requisition is typically addressed at the Company’s annual general meeting, which the Company plans to hold before the statutory deadline.

In addition to the requisition, Mr. Kong has initiated legal proceedings in the B.C. Supreme Court. These proceedings include seeking an injunction to prevent the Company from proceeding with a non-brokered private placement announced on May 21, 2026, until the Petition is heard or the shareholders’ meeting is conducted. Mr. Kong is also seeking an order to remove four directors from office through the underlying Petition. Majestic Gold Corp. contests these allegations and intends to defend the proceedings vigorously, acting in the best interest of all stakeholders.

Majestic Gold Corp. also announced that it has called its Annual General Meeting of Shareholders for July 31, 2026. Further details regarding the Meeting, including the record date, will be provided in due course, and a management information circular will be mailed to shareholders prior to the Meeting.
